Paralegal Responsibilities will include:


  • Board Support- Assist Secretary of Board and Assistant Secretary in scheduling, organizing and calendaring of Board and Committee Meetings; assist in the compiling of minutes, drafting of agendas, notices, presentations, and producing board materials.
  • Manage Corporate Governance Matters- Manage and attend to standard corporate governance matters such as tending to corporate minutes books and performing annual filings within the U.S. jurisdictions.
  • Manage Legal Entity Database- Managing, updating, and maintaining the organization's legal entity database. Entails reviewing corporate governance documents (minutes, amendments to bylaws, resignations, etc.) and uploading and properly categorizing the library of corporate governance documents and related records in the database. Also requires escalation of issues to management, and providing periodic reports.
  • Manage Legal Requests- Serve as liaison to receipt, and tracking of all legal requests for production of documents; coordinate response with several business units within the company and ensure timely response.
  • Manage various ad-hoc projects as needed- Provide support and serve as project manager on various departmental and companywide improvement projects.
  • Provide support to legal department.
  • Must attend Company sponsored events that relate to the development of the team, which, from time to time, may include overnightstays at locations away from the employee's home.


Skills and Qualifications:


  • Ability to work under pressure, handle multiple projects and meet deadlines.
  • Strong ability to read, interpret, and comprehend documents such as corporate organizational documents (such as partnership agreements, bylaws and operating agreements), legal and administrative rules and contract provisions.
  • Strong familiarity with corporate governance matters, to include understanding of basic annual filing requirements and how to accomplish the same for corporate entities with secretaries of states of U.S. jurisdictions.
  • Must be self-sufficient worker and capable of superb organizational tasking/project management.
  • Excellent writing and communication skills.
  • Proficiency in standard office software, e.g., Microsoft Office.




  • Bachelor's degree from four-year College or University and at least five years relevant experience in a law firm or legal department.
  • Paralegal certification.




  • Work is primarily sedentary in nature
